Any other notices and terms presented to You and accepted by You (either directly or by use of the Service) are also incorporated into these terms.

2. ACCOUNT ELIGIBILITY; YOUR RESPONSIBILITIES

Our event hosting provider Fusex Social club, Grafenberg Entertainment Networks, LLC and Swingersstyle.com may conduct random background checks on members at our personal discretion. If You become a member, you represent and warrant that You HAVE NOT EVER BEEN CONVICTED of any racist and religious hate crimes, human trafficking offenses, sexual assault offenses, violence against any intimate partner men or women, violence against women, violence against children, any violent misdemeanors, or any violent felonies. ALFORD PLEA, NO CONTEST, NOLO CONTENDERE OR STAY OF ADJUDICATION ARE CRIMINAL CONVITIONS. THOSE PLEA AGREEMENT REQUIRES ACRIMINAL DEFENDANT TO ADMIT FAULT IN CRIMINAL CASES BY SAYING YOU ARE GUILTY. The U.S. Court of Appeals for the Seventh Circuit ruled that the definition of “conviction” under the Fair Credit Reporting Act (FCRA), 15 U.S.C. 1681, et seq, should be interpreted under federal law, not the law of the state where the criminal record is generated. See Aldaco v. RentGrow, Inc., No. 18-1932 (7th Cir.)

vi. You represent and warrant that you are not an individual that controls prostitutes and arranges clients for them, taking part of their earnings in return. Attempt to acquire, possession, or control over a controlled substance through fraud or misrepresentation, using a false name, or falsely representing a physician, employing a minor to sell of any control substances, drug trafficking, manufacture narcotic drugs, human trafficking, manslaughter, Kidnapping, attempted murder, robbery, gang violence; criminal harassment, uttering threats, burglary, larceny, motor vehicle theft, theft by Swindle, exploiting vulnerable adults or children, domestic violence, Arson, Assault causing bodily harm or attempting to cause fear of bodily harm in another, commits an act with intent to cause fear in another of immediate bodily harm or death; or intentionally inflicts or attempts to inflict bodily harm upon another.

Assault by causing substantial bodily harm as an injury that causes temporary but significant disfigurement, impairment of function, or fracture of any part of the human body. Assault by causing great bodily harm that results in disfigurement, loss of use, or putting a victim at risk of death. Assault that involves the use of a dangerous weapon. Assault against a minor where a history of abuse exists, against a child under the age of 18, or that results in substantial bodily harm.

Domestic assault, Assault, human trafficking, extortion, criminal Stalking, Identity theft, theft by swindle, violent assaults, exploitation of elderly(s), exploitation of a vulnerable adult (s), exploitation of a minor (s) criminal voyeurism, criminal sexual conduct, felony level Indecent exposure, Kidnapping and False Imprisonment, soliciting a minor to engage in prostitution or sexual conduct, Using a minor in a sexual performance, Possession of pictorial representations of minors.

1. You represent and warrant that you are not a fugitive from justice, also known as a wanted person, not on any list of predatory sex offender registry list, you also warrant you are not on any list of individuals prohibited from conducting business with the United States; You do not have more than one account of the same type on our Services for examples duplicate singles or couples accounts. You represent and warrant that: You have not previously been removed from our Services by us unless you have our express written permission to create a new account. You may have a single or a Couple Account. You warrant that you are not part of any organized crime groups. 1. If you have a Swingers Style single female profile. You are only authorized to attend swingers’ style or Fusex Social Club events as a single Female.
2. If you have a Swingers Style single Male profile. You are only authorized to attend swingers’ style or Fusex Social Club events as a single Male.
3. You must have a paid OR ACTIVE account to attend Swingers style or Fusex Social Club events.
4. All events guests must have an approved Swingers Style Account
5. If you have a Swingers Style Couple profile. You are authorized to attend Swingers Style events or Fusex Social Club Events as a Couple or separately with hall pass.
6. If you have a part of Triad, you are only authorized to attend Swingers Style Events as a triad together.

You agree to:

1. Comply with these Terms and check this page from time to time to ensure you are aware of any change.

2. Comply with all applicable laws, including without limitation, privacy laws, intellectual property laws, anti-spam laws, and regulatory requirements.

3. Use the latest version of the Website and/or App.

4. Treat other users in a courteous and respectful manner, both on and off our Services.

5. Be respectful when communicating with any of our customer care representatives or other employees.

6. Maintain a strong password and take reasonable measures to protect the security of your login information.

Your obligations

You must not use our Service unless you have the full power and authority to enter into and perform these Terms; (b) will not use our Service to infringe or violate the copyright, trademark, right of publicity or any other legal right of any third party; (c) will comply with all applicable laws and regulations in using our Service and in engaging in all other activities arising from, relating to or connected with these Terms, including, without limitation, contacting other users on our Platform and/or using our Service; (d) must not use our Service if you have ever been convicted of an offence of a sexual nature or if you have any such charges currently pending against you; and (e) you must own or otherwise have all rights necessary to  all   contents  your submit to us, and promise that the posting and use of your Content by us will not infringe or violate the rights of any third party. We are not responsible for any damage you may suffer because of your breach of this clause.

Account Credentials

Make sure to not let yourself get lured in.You are responsible to keep your username and password confidential, and you are solely and fully responsible for all activities that occur under your username and password .This means that you also are responsible for, among other things, protecting the confidentiality of and physical and electronic access to: (i) the email account associated with your member profile; (ii) any computer(s) and/or mobile device(s) you use to access your member account; and (iii) any credit card or other method of payment that you use to purchase subscription packages, credits and/or other units for use of the Services. You agree to: (a) immediately notify us of any unauthorized use of your username and/or password or any other breach of security; and (b) ensure that you log off from your account at the end of each session. We will not be liable for any loss or damage arising from your failure to comply with this section.

Email Communications

Subject at all times to our obligations regarding email communications in your respective jurisdiction, you agree that: (i) we and other sites we operate (or our agents) may send you email communications that include messages about the Service and your membership account with us, and services offered by our other sites and third parties; and (ii) any notice, agreements, and other communications we send to you electronically will satisfy any legal requirements, including, without limitation, that such communications be in writing. Terminate/Delete/Deactivate Your Account

SwingersStyle.com may choose to not renew your membership or cancel your account. In addition to your right to cancel, and to delete or deactivate your account, you may terminate this contract and your access to the Services at any time via our Platform(s) by logging into your account or by sending us written or email notice of termination.

We may terminate your access to our Services: (a) if you breach these Terms; (b) where required by law; or (c) where we reasonably believe there has been a breach of these Terms or a breach of applicable laws. Unless otherwise required by applicable law or expressly stated otherwise in these Terms, upon termination of this contract or your access to our Services, you will not be entitled to a refund of unused credits or other units, or a refund of subscription fees that you have paid, where: (i) we terminate pursuant to this Section.; or (ii) you terminate at your own initiative.

TRUE SIGNATURE REQUIREMENTS

Swingers Style and Fusex Social Club are highly regulated and Restricted Zone. It is in your best interest to protect your family, career, identity, your reputation, assets, and other members of the community. For your protection it is in your best interest to use your true signature and State Identification. You understand that using a fake name, ID, or signature when accepting this agreement, you will be subject of a thorough investigation. If using a fake ID/ signature, you will be permanently banned and lose your membership with Fusex Social club and Swingers Style. NO REFUND. Swingers Style will verify your signature and ID through https://risk.lexisnexis.com/products/trueid. Forgery involves a false document, signature, or other imitation of an object of value used with the intent to deceive another. Those who commit forgery are often charged with the crime of fraud. Forgery is considered a felony in all fifty states.

Non-Disparagement Clause

Effectively for the first date when you become a member of SwingersStyle.com or FuseX social club you agreed to forever not “making any disparaging or defamatory remarks or statements. “Or take any other actions whatsoever, to disparage, defame, denigrate, or compromise the goodwill, name, brand, or reputation of SwingersStyle.com or FuseX Social Club or any of our affiliates. You agree that you will not disparage or encourage others to disparage SwingersStyle.com or FuseX Social Club .For purposes of this agreement, the term disparage includes without limitation comments or statements made in to any third party, or any matter or medium in the press or the media about the SwingersStyle.com or FuseX social club which would adversely affect any manner of the conduct of the community of the company, without limitations to the company's business plans or prospects or the business reputation of the company. You agree not to disparage or denigrate SwingersStyle.com or FuseX social club orally or in writing, and that neither you nor anyone acting on your behalf will publish, post, or otherwise release any material in written or electronic format, make speeches, gain interviews, or make public statements that mentioned SwingersStyle.com or FuseX social club, its operations, members, employees, products, or services without the prior written consent of SwingersStyle.com or FuseX social club.

As a member of SwingersStyle.com or FuseX Social Club you agreed to not disparage take any action which could reasonably be expected to adversely affect the company’s personal or professional reputation. Similarly, you will not disparage SwingersStyle.com or FuseX social club any of its employees, contractors, directors, officers, agents, or executives or otherwise take any action which could reasonably be expected to adversely affect the personal or professional reputation of SwingersStyle.com or FuseX social club or any of its directors, officers, agents, or employees. You stipulate that an appropriate number of liquidated damages for violation of this clause is $ 375,000 per violation, this amount shall be awarded to SwingersStyle.com or FuseX Social Club. if you made any disparaging or defamatory remarks or statements directly to any News organization, social news, Television network, radio network, tabloid journalism, online newspaper, newspaper, online blog, Online media, online social media, social news aggregation, web content rating, and discussion website. You stipulate that an appropriate number of liquidated damages for violation of this clause is $ 12.5 Million per violation. These Terms shall be governed in all respects by the laws of New York without giving effect to its conflicts of law provisions. Both parties submit to the personal jurisdiction of, and venue in, the state and federal courts in New York.

Cooperation

As a member of SwingersStyle.com or FuseX Social Club you further agree that if you ever become a victim or a suspect in a criminal or civil investigation of any type you will cooperate fully with the firms and its counsel (s) with respect to any matter (including litigation, investigations, or governmental proceedings) which relates to matters with which was involved during your membership with Fusex Social Club or Swingersstyle.com. As members you shall render such cooperation in a timely manner on reasonable notice from FuseX social Club or SwingersStyle.com

CONFIDENTIALITY AND NON-DISCLOSURE AGREEMENT

This Non-Disclosure Agreement (the “Agreement”) is made and entered into effect as of when you start using the website as well for when you attend Swingers Style events or Fusex social club current and all upcoming events. All parties agreed that this non-Disclosure is to continue into a perpetual timeline between All members of the website, SwingersStyle.com and our Event host Provider FUSEX Social Club (the “Social Club”). The identity of Fusex Social Club members and Swingers Styles members are not public knowledge. You agreed to forever never disclose or discussing details relating to Fusex Social club, Fusex Social club Members, Swingers Style members personal, social, or business activities. Enforcing this agreement would not violate any public policies.

When you become a member (s) of Swingersstyle.com or Fusex Social Club you agree to enter into a confidential relationship with respect to the disclosure by one or each (the “Disclosing Party”) to the other (the “Receiving Party”) of confidential information regarding SwingersStyle.com members and all FUSEX Social Club member(s), FUSEX Social Club guest(s), FUSEX Social Club ownership, staff, and management. Swingers Style members and Fusex Social Members information’sand identities are constituting protected confidential information. The identities of the website members are deemed confidential and known only to a limited group of people.

Definition of Confidential Information. For all purposes of this Agreement, the term “Confidential Information” shall collectively refer to Any or all Non Public information’s that are related to Fusex Social club, Swingers Style members and Fusex Social club members that are not public knowledge .All non-public information pertaining to Swingers Style members and FuseX Social Club, FuseX Social Club member(s) or guest(s) identity, Swingers Style and FuseX Social Club member(s) place of employment, Swingers Style andFUSEX Social Club member(s) sexual orientation, Swingers Style FUSEX Social Club member(s) political affiliations. Swingers Style and FUSEX Social Club plans, policies, procedures, employees, work conditions, legal and regulatory affairs, assets, inventory, discoveries, trademarks, patents, marketing, expenses, financial statements and data, costs of goods and relationships with third parties. Confidential Information also includes any notes, analyses, compilations, studies prepared by the recipient party which contain, reflect, or are based, in whole or in part, on the confidential Information.

As a Swingers Style member or Fusex Social club member you do hereby covenant and agree with each other as follows:

Non-disclosure. All parties shall keep strictly confidential and shall not disclose, or cause or permit to be disclosed, to any non-Swingers Style members and non-Fusex social club members or third party or entity, (i) any information relating to club member(s) or guest(s) identity, place of employment, sexual interests, sexual orientation, or political affiliations. As you agreed to this CONFIDENTIALITY AND NON-DISCLOSURE AGREEMENT you must not engage in blackmailing or harassing current or prior contractor (s) club members and Fusex Social club staff or ownership. Images, electronic records, text messages, voice mails must not be released upon the other party full consent.

 

1 ) This stipulation shall be governed by the laws of the State of NEW YORK without regard to its conflict of law provisions.

2)  YOU AGREED TO FOREVER NOT “OUTED” ANY Swingersstyle.com or Fusex Social club members without their consents.

3 ) YOU AGREED TO FOREVER NOT TO BLACKMAIL OR ATTEMPT TO BLACKMAIL ANY Swingersstyle.com or Fusex Social club members.

4)  YOU AGREED TO FOREVER NOT WRITE OR PUBLISH ANY tell all Books or articles about Fusex Social Club, Swingersstyle.com any Swingersstyle.com members or Fusex social club members without his/her/she/their consents.

5)  YOU AGREED TO FOREVER NOT FALSELY ACCUSED ANY Swingersstyle.com or Fusex Social club members OF ANY CRIME.

6)  YOU AGREED TOFOREVER NOTSEXUALLYABUSE, any swingers style or Fusex Social club members, you agreed to not use Swingers Style for REVENGE PORN purposes.

7) . YOU AGREED TO FOREVER NOTREPORT OR DISCLOSE EVENTS LOCATIONS to non-Swingers Style and Fusex social club members.

Acknowledgment of confidential Information. You acknowledge that during your membership with Swingers Style and FUSEX Social Club, you will be exposed to secrets, and confidential information that constitutes confidential information which includes intimate very personal and private details regarding the website members, members identity, place of employment, sexual behaviors, sexual preferences, sexual orientation, health history, and political affiliations.

You expressly acknowledge that if leaking confidential information regarding Swingers Style and FUSEX Social Club current or past members, to the media, law enforcement, business associates, family members any third party. If such a leak results in revenue loss, emotional distress substantial hardship, loss of employment, property damages, and injury to a member or members. You agreed that you will be responsible for monetary damages up to including court cost, attorney’s fees, unpaid wage and back pay, and medical expenses. This Agreement may not be changed orally, but except where expressly provided herein, this Agreement may be changed only in writing signed by the party against whom enforcement of any waiver, change, modification, extension, or discharge is sought. The recitals set forth above are true, correct, contractual in nature and are hereby incorporated into this Agreement by this reference. Referring a prospective member to Swingers Style (s) or FUSEX Social Club is not a violation of this non-Disclosure. This Confidentiality and Non-Disclosure Agreement does not prohibit Swingers Style or FUSEX Social Club from cooperating with Law Enforcement agencies in case if a crime has been committed against a Swingers Style members Social Club, any of its members, guests, contractors, or staff.

At any time, Swingers Style or FUSEX Social Club reserves the right to void or modify, this agreement. This Non-Disclosure does not prohibit a victim of a crime from reporting it to Swingers Style, or FUSEX Social Club management or the appropriate law enforcement jurisdiction. Nevertheless, all parties agreed to this non-Disclosure are prohibited from falsely accused Swingers Style, Swingers Style members or FUSEX Social Club, FUSEX Social Club guests, members, staffs, management, contractors, of committed a crime. Under this agreement a false accusation is a claim or allegation of civil or criminal wrongdoing that is “unsubstantiated” or “unfounded”, false, untrue and/or otherwise unsupported by facts when the alleged events did not occur. Under this agreement false statements that may cause damage to someone’s reputation is prohibited, defamatory statements to a third party are also prohibited.Deliberately accusing a Swingers Style member (s) or Fusex social club member(s) guest(s) staff, management, or contractor(s) of a crime with the intent of spurring malicious wrongful prosecution, for financial gain “money grab” in is a violation of this non-disclosure. Swingers Style Members and Fusex Social club members are hard working men and women professionals that work hard to build their reputations and careers. You agreed as a member of the website (s) or a FUSEX club member(s) or guest(s) or contractor(s) you are agree to this Confidentiality and Non-Non-Disclosure agreement you agreed to be held liable and responsible for any damages stemming from any false criminal/civil accusations. Under the terms of this non-disclosure agreement if a false accusation result to the loss of employment, sponsorships, business endorsements, revenue loss, emotional distress substantial hardship, property damages, and injury to a Swingers Style member or FUSEX Social Club, staff(s), management, contractors, a guest, member, or members.

If investigation reveals you are a false accuser you agree to be held responsible for compensating monetary damages up to included court cost, attorney’s fees, unpaid wage, back pay, and medical expenses. These Terms shall be governed in all respects by the laws of New York without giving effect to its conflicts of law provisions. Both parties submit to the personal jurisdiction of, and venue in, the state and federal courts in New York. Parties further agree that any cause of action arising under these Terms shall exclusively be brought in such courts. If any provision of these Terms is considered to be invalid or unenforceable, such provision shall be struck out and the remaining provisions shall be enforced. The waiver by Swinger’s style Grafenberg Entertainment Networks, LLC of a breach of any provision of these Terms will not operate or be interpreted as a waiver of any other or subsequent breach.

 

Accidental Waiver and Release of Liability Agreement

This accidental waiver and release of liability is made and entered into effect as of the date when you start using the website as well for when you attend all for current and all upcoming Swingers Style and Fusex Social club events. All parties agreed that this accidental waiver and release of liability is to continue into a perpetual timeline between Swingers Style and Fusex Social club.

YOU ASSUME ALL OF THE RISKS while ATTENDING ALL SWINGERS STYLE AND FUSEX SOCIAL CLUB EVENTS. You hereby agreed to release SWINGERS STYLE, FUSEX SOCIAL CLUB, GRAFENBERG ENTERTAINMENT NETWORKS LLC, ANY OF OUR VENDORS, owners, and agents from any and all liability, such as any litigation, data breach, accidents, death,  Court cost, attorney fees, medical bills, lost wages, and any other damages, due to or arising out of any injury or to person or property, occurring at our event, or the building in which our event is located. You expressly agree that to use our services offered by the by the website and our Social Club is at your sole risk, the services are provided on an “as is” and “as available” basis. We make no representation that the services so offered by Swingers style and Fusex social club would meet your requirements, or would be uninterrupted, timely or error free, or that the quality of services would be as expected by you. You expressly understand and agree that Swingers style and FUSEX Social Club, its agents, are not liable for any direct or indirect damages of any nature resulting from the use of the services offered by the website and attend events hosting by Swingers Style and our event host provider Fusex Social club.

Release – You agreed to this Accidental Waiver and Release of Liability to forever release and not to sue Swingers style or FuseX Social Club, its management, agents, vendors, volunteers, exhibitors, and/or any other person or company in any way associated with the club, to the maximum extent allowed by law, from any and all liability, claims, demands, damages, or any other legal responsibilities in any way related to the use of website or the Social Club or its facilities or participation in any club programs, events, or activities. I am fully aware of the risks involved and hazards connected with sexual activity, and I hereby elect to voluntarily participate in said activity with full knowledge that said activity may be hazardous to me. I voluntarily assume full responsibility for any risks. This release includes without limitation any and all claims, foreseeable and unforeseeable, relating to physical or other injury, property theft, death, or damage to property and any and all claims relating to negligence or negligent instruction, hiring, supervision, inspection, or actions of any kind which may hereafter occur to me including my traveling to and from this event. This disclaimer shall be governed by the laws of the State of New York, without regard to its conflict of law provisions.

Indemnification –You agree to indemnify us, our office, directors, affiliates, parent corporations, employees, and agents, from any loss or damages, including without limitation reasonable legal fees, which may occur from your activities while on or stemming from use of the Service, including but not limited to any breach by you of this Terms of Service or any charges or complaints made by other parties against you. You shall cooperate in your fullest capacity as reasonably required in the defense of any claim. We reserve the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, provided, however, that you shall remain liable for any such claim.Assumption of Responsibility/Risk I forever assume full responsibility for any and all risk, known and unknown, of bodily injury, death, or property and other damage to me due to the negligence of the club or any other cause (foreseeable or unforeseeable) to the maximum extent allowed by law, while in, about or upon the premises of Fusex social club , while attending Swingers Style or Fusex social club events, or while participating in any program affiliated with the club, whether or not the injury occurs on the club’s premises. I understand the risks inherent in the activities that the club sponsors and assume all such risks, as well as all non-inherent risks.

Regardless of Location – I understand that Swingers Style or Fusex social club events often change locations that this waiver applies to all club events, excursions, and any and all other off-site activities, regardless of where the club’s events or activities take place. Medical Consent – If I should suffer injury or illness, I grant permission for Swingers Style or Fusex social club to use its discretion to have me transported to a medical facility for medical care and treatment, and I take full responsibility for this action. Further, I agree to be fully responsible for the cost of any such medical treatment. I intend that this waiver be as broad and inclusive as permitted by law and that, if any portion of this waiver should be deemed invalid, the remainder will continue in full legal force and effect. I also intend that this waiver will remain in full legal force and effect forever, regardless of whether or not my Swingers Style or Fusex social club memberships status has expired. I CERTIFY THAT I HAVE READ THIS DOCUMENT, AND I FULLY UNDERSTAND ITS CONTENT. I AM AWARE THAT THIS IS A RELEASE OF LIABILITY AND A CONTRACT AND ELECTRONICALLY I SIGN IT OF MY OWN FREE WILL.

These Terms shall be governed in all respects by the laws of New York without giving effect to its conflicts of law provisions. Both parties submit to the personal jurisdiction of, and venue in, the state and federal courts in New York. Parties further agree that any cause of action arising under these Terms shall exclusively be brought in New York courts. Headings are for reference purposes only and in no way define, limit, construe, or describe the scope or extent of such section. Swingers style Grafenberg Entertainment Networks, LLC failure to act with respect to a breach by you or others does not waive its right to act with respect to subsequent or similar breaches. The facilities of Swingers style Grafenberg Entertainment Networks, LLC and our Website are available only were permitted by law. By using our Site, you warrant that the laws of your particular jurisdiction do not prohibit your activities or your use of our Site. The parties waive all rights to trial by jury in any action or proceeding instituted in connection with these Terms. This agreement and the terms and conditions contained herein set forth the entire understanding and agreement between Swingers style Grafenberg Entertainment Networks, LLC and you with respect to the subject matter hereof and supersede any prior or contemporaneous understanding, whether written or oral.

Deactivate My Account:

If you select this option, your profile will be removed from all search results and will not otherwise be viewable by other users. However, your message history will be left intact and any users which you have previously interacted with will still be able to access and view the messages you have exchanged. If you select this option, your account, including any personal information related thereto, will not be immediately deleted from our systems; but rather, will be stored and managed in accordance with our Privacy Policy. Due to legal compliance, a copy of all of your users history and the agreements will be stored in our database permanently.

6. Use any device, software, or routine to bypass or to interfere or attempt to interfere with the proper working of the Site.

7. use the information available through our Service and/or Platform for any unauthorized or unlawful purpose,

YOU WILL HAVE THE OPTION TO PAY SWINGERS STYLE $600 USD TO CONDUCT A BACKGOUND CHECK ON YOU AND MARK YOUR PROFILE AS “BACKGROUND CHECK VERIFIED. “A BACKGROUND CHECK VERIFIED VALIDATION BADGE IS ONLY VALID FOR 1 YEAR”. IF YOU WANT TO RENEW YOUR BACKGOUND CHECK VALIDATION BADGE YOU WILL BE REQUIRED TO PAY THE $600 RENEWABLE COST. OUR EVENT HOST PROVIDER FUSEX SOCIAL CLUB CONDUCT ALL OF THE SWINGERS STYLE BACKGOUND CHECKS. It is your responsibility to determine whether you want to interact with a member or members of our Service.We reserve the right, to monitor all interactions between you and other users of our Service and to take any action in good faith to restrict access to or the availability of any material that we or another user of our Service may consider a violation of our user agreement or to be scandalous, illegal, obscene, lewd, lascivious, violent, harassing, pose a significant threat to our business and members, or otherwise objectionable and you hereby expressly consent to the foregoing. Email messages sent between you and other users of the Service that are not readily accessible to the general public may be reviewed by us for compliance with these Terms but will be treated by us as confidential.

C. Member disputes

You are solely responsible for your interactions with other users of our Service, including the content of the materials you post on the Service and in your messages to other members of the Service. You may not use any of the marks, logos, domains and trademarks that you may find on our Platform, unless you have our written permission. After your initial subscription commitment period, and again after any subsequent subscription period, your subscription will automatically continue for an additional equivalent period unless to set up your account to TURN OFF AUTOMATIC RENEWAL. By entering into this Agreement, You acknowledge that your account will be subject to the above-described automatic renewals. If You do not wish your account to renew automatically or if You want to change or terminate your subscription, please log in and go to “Account Settings” on the Website and follow the directions contained therein.

d. Swingers Style MAINTAINS A STRICT NO-REFUND POLICY. ALL PURCHASES MADE ON THE WEBSITE ARE FINAL. Further, if your deactivated Swingers Style account is reinstated at a later date, You agree that neither any unused subscription or credits forfeited at the time of your account deactivation will be reinstated with your account.

f. Credits or a subscription purchased for a specific Swingers Style account are strictly non-transferable. You agree that any remaining or unused Membership subscription associated with an active or deactivated Swingers Style account will not be transferred to any other account belonging to You or to someone else.

You agree that you will not:

1. NOT use the SwingersStyle.com platform with the purposes of promoting, facilitating prostitution, or knowingly accessing, coercing transports any member (s) of the website in interstate or foreign commerce, or in any territory or possession of the United States, with intent that such member (s) will engages in prostitution, or in any illegal sexual activity for which any person can be charged with a criminal offense. This Agreement, and any dispute between You and The Grafenberg Entertainment Networks with the exception of Privacy Disputes as noted above (for E.U, EEA, Swiss, or United Kingdom citizens), shall be governed by the laws of the state New York in the United States without regard to principles of conflicts of law.

Summary: If You use the Website or Service, You must litigate any disputes in the federal or state courts in the state of New York United States. However, if you are a citizen of the E.U., EEA, Switzerland or the United Kingdom, your Privacy Disputes will be determined according to E.U., Swiss or United Kingdom privacy laws, as applicable.

15. Consent to Service of Process by Email.

By using the Website or Service, You consent to service of process of any summons and/or complaint at the email address that you provided to Swingers Style to create your Swingers Style account. You further agree that email is a reasonable means of notice and service for any litigation.

Summary: By providing your email address when using the Website or Service, You are agreeing to receive any type of litigation notice via that email address.

16. Consent to Allow Swingers Style to Bring Lawsuits on Your Behalf You agree that Swingers Style may bring actions on behalf of You or any other Member or Members, in any judicial, arbitral, or other forum, where Swingers Style ’s rights may be implicated.

Summary: You are agreeing to let The Grafenberg Entertainment Networks bring legal and equitable actions on your behalf if The Grafenberg Entertainment Networks determines its own rights are implicated in those actions.

17. Indemnity

You agree to defend, indemnify, and hold harmless, The Grafenberg Entertainment Networks’s officers, directors, employees, agents, affiliates and subsidiaries from and against any claims, actions, or demands, arising from your use of the Website, the Service or your breach of the terms of this Agreement (including any breach of your representations and warranties contained herein), any postings or Content You post on the Website or as a result of the Service, and the violation of any law or regulation by You.

You, and your estate in the case of your death, further agree that this indemnification provision covers all third-party claims, actions or demands, including those filed by your spouse, children, family or others who rely on You for support. You also agree that this indemnification provision covers all damages, costs, or expenses related to claims described in this Section, including without limitation all reasonable legal and accounting fees. The Grafenberg Entertainment Networks reserves the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by You, in which event You will fully cooperate with The Grafenberg Entertainment Networks in connection therewith.

Summary: You agree to defend us and hold us harmless for your use of the Website and any breach by You of the Agreement terms or any violations of any law or regulation by You. This indemnification covers all claims, actions, or demands made by anyone.

18. General Provisions

a. Violation of this Agreement may cause The Grafenberg Entertainment Networks irreparable harm, and You therefore agree that The Grafenberg Entertainment Networks will be entitled to seek extraordinary relief in court, including but not limited to, temporary restraining orders, preliminary injunctions and permanent injunctions without the necessity of posting a bond or other security, in addition to and without prejudice to any other rights or remedies that The Grafenberg Entertainment Networks may have for a breach of this Agreement.

b. This Agreement (which You accept by using the Website and further affirm by becoming a Member of the Service), along with the Swingers Style Privacy Policy located on the Website and any applicable payment, renewal and additional Service terms, comprise the entire agreement between You and The Grafenberg Entertainment Networks regarding the use of the Website and/or the Service, superseding any prior agreements between You and The Grafenberg Entertainment Networks related to your use of the Website or Service (including, but not limited to, any prior versions of this Agreement).

c. Unless otherwise explicitly stated, this Agreement will survive termination of your registration to the Service.

d. If any provision of this Agreement is held invalid, the remainder of this Agreement shall continue in full force and effect.

e. The failure of The Grafenberg Entertainment Networks to exercise or enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision.

f. You agree that your online account is non-transferable and all of your rights to your profile or contents within your account terminate upon your death.

g. No agency, partnership, joint venture or employment is created as a result of this Agreement, and You may not make any representations or bind The Grafenberg Entertainment Networks in any manner.

Summary: These are general terms to which You agree, just like You are agreeing to all the other terms in this agreement.

19. Special State Terms

The following provisions are added to this Agreement for subscribers residing in Arizona, California, Connecticut, Illinois, Iowa, Minnesota, New York, North Carolina, Ohio, and Wisconsin:

You, the buyer, may cancel this Agreement, without penalty or obligation, at any time prior to midnight of the third business day following the original date of this contract, excluding Sundays and holidays. To cancel this Agreement, mail or deliver a signed and dated notice which states that You, the buyer, are canceling this Agreement, or words of similar effect. This notice shall be sent to: Grafenberg Entertainment Networks, LLC 1095 Sugar View Dr Suite 500 Sheridan, WY 82801 Please include your Swingers Style username and email address in any correspondence or your refund may be delayed. If You cancel, Swingers style will return, within ten days of the date on which You give notice of cancellation, any payments You have made. If You send or deliver the notice to cancel your subscription agreement within such three-day period, we will refund the full amount of your subscription. In the event that You die before the end of your subscription period, your estate shall be entitled to a refund of that portion of any payment You had made for your subscription which is allocable to the period after your death. In the event that You become disabled (such that You are unable to use the services of SwingersStyle) before the end of your subscription period, You shall be entitled to a refund of that portion of any payment You had made for your subscription which is allocable to the period after your disability by providing the company notice at the same address as listed above.

Summary: If You are a resident of one of the above states, the above terms apply to You and supersede any contradictory terms that might be found otherwise in the Agreement.

20. Special European Terms

If You are a consumer in Europe, Swingers Style does not exclude or limit any liability for gross negligence, intent, or death or personal injury caused by its negligence or willful misconduct.

If Swingers Style causes damage to You and You are a consumer in Europe, liability will be limited to foreseeable damages arising due to a breach of material contractual obligations typical for this type of agreement. Swingers Style is not liable for damages that result from a non-material breach of any other applicable duty of care. This limitation of liability will not apply to any statutory liability that cannot be limited to liability for death or personal injury caused by our negligence or willful misconduct, or to exclude our responsibility for something we have specifically promised to You.If You are a consumer in Europe, Swingers Style may assign this agreement, and any rights and licenses granted under it, to a third party. In case of such an assignment, you are entitled to terminate the Agreement with immediate effect by deactivating your account. Swingers Style will provide You with reasonable notice, via the methods noted below, of any such assignment.

Summary : If You are a user/Member in Europe, the above terms apply to You and supersede any contradictory terms that might be found otherwise in the Agreement.

21. Notice

The Company may provide You with notices, including those regarding changes to this Agreement, using any reasonable means now known or hereafter developed, including by email, regular mail, SMS, MMS, text message or postings on the Website. Such notices may not be received if You violate this Agreement by accessing the Service in an unauthorized manner. You agree that You are deemed to have received any and all notices that would have been delivered had You accessed the Service in an authorized manner.

Summary: If we make changes or want to notify You, we’ll let You know.

22. Revision Date and Amendment.

This Agreement is subject to change by the Company at any time. If You are a non-subscribing Member at the time of any change, the revised terms will be effective when posted on the Website and your use of the Service after such posting will constitute acceptance by You of the revised Agreement. If You are a subscribing Member at the time of any change, to the extent permitted by applicable law the then-existing Agreement will continue to govern your Membership until such time that your Membership is renewed (whether by You or automatically by the Service) as contemplated herein. If You continue your Membership, your renewal will constitute acceptance by You of the revised Agreement. Alternatively, if You terminate your subscription at such time, your use of the Service after your termination will constitute acceptance by You of the then-existing Agreement.  Severability If any provision of the Agreements is held to be unenforceable under applicable law, such provision shall be excluded from this Agreement, and the balance of the Agreements shall be interpreted as if such provision was so excluded and shall be enforceable in accordance with its modified terms.

Waiver. Failure to enforce any provision of these Terms shall not constitute a waiver of any term hereof. No waiver of a breach of any provision of these Terms shall constitute a waiver of any prior, concurrent or subsequent breach of the same or any other provision hereof, and no waiver shall be effective unless granted in writing and signed by an authorized representative of us at our director level or above. You acknowledge that if you request a refund or credit from us, our decision to provide this refund or credit shall not act as a release. We are not waiving our rights to seek redress or recovery for the refund or credit issued along with any other rights of recovery or damages available to us regarding your use of the Website and your request for a credit or refund. Limitations of Claims. You agree that any claim or cause of action arising out of or related to these Terms, or your use of the Services must be filed within one (1) year after such claim or cause of action arose or be forever barred.

Non-Assignment. You may not resell, assign, or transfer any of your rights or obligations under these Terms without our prior written consent. We may resell, assign, or transfer our rights and obligations under these Terms at any time without restriction and without notice or consent.
